Deep-South Will Close An Oversubscribed Non-Brokered Private Placement
VANCOUVER, BC, Feb. 6, 2023 /PRNewswire/ - Deep-South Resources Inc. ("Deep-South" or the Company) (TSXV: DSM) announces that it will close a second tranche in an oversubscribed non-brokered private placement. The second tranche will be closed for an amount of $490,000.
A first tranche totaling $210,000 has already closed. The first tranche comprised 4,200,000 units at $0.05 per unit.
The total offering will comprise up to 14 million units at $0.05 per unit for a total of up to $700,000. Each Unit will consist of one (1) common share and one half (1/2) of one common share purchase warrant ("Warrant"). Each whole Warrant will entitle the holder thereof to purchase one (1) common share at an exercise price of $0.10 for thirty-six (36) months from the date of closing of the private placement. Each security issued has a mandatory four (4) month hold period from the date of closing of the placement.
The Company may pay a finder's fee to eligible persons in compliance with applicable securities laws and exchange policies. This financing is subject to TSX Venture Exchange approval.
The proceeds of the private placement will be used for further exploration on the projects in Zambia and for general working capital.
